Member Operating Agreement

I. ELIGIBILITY, GEOGRAPHY & CLASSIFICATION

1.1 Verified Single Status: Member represents and warrants they are legally single. The Catch defines “Single” as legally unmarried and strictly excluding any party currently involved in an active or pending divorce, legal separation, or annulment proceeding.

1.2 Duty to Disclose Status Change: Member has a strict 48-hour Duty to Disclose any change to their Single Status. Failure to report an active shift in legal standing results in immediate termination and forfeiture of ongoing service fees.

1.3 Geographic Proximity & Territory: Member warrants that their primary residence is located within Fairfield County, Connecticut. The Catch reserves the right to adjust operational boundaries over time; expansions altering localized search parameters remain subject to the relocation protections defined in Section 8.3.

1.4 Classifications of Enrollment: Member explicitly acknowledges that their enrollment level dictates their operational status and the level of service rendered within the fleet registry:

Registry Member (Standard Registry – $69.00/mo): Enrolls the individual as a passive participant within the database pool. Fees cover baseline background screening, account security, and structural profile maintenance. Registry Members are eligible to be matched with Active Clients if natural compatibility is identified by the Navigator, but they do not receive proactive, dedicated scouting or outreach labor.

Active Client (Active Search – $99.00/mo): Enrolls the individual as an active client of the firm. Fees directly compensate dedicated, proactive matchmaking labor, localized priority vetting, curation strategies, and active scouting execution by the Navigator.


II. THE SENTRY AUDIT & SAFETY

2.1 The Sentry Fee: Member acknowledges a one-time, non-refundable $150.00 Sentry Fee required upon enrollment. This fee represents a direct investment in the safety of the fleet, covering immediate third-party background screening, administrative verification, and legal credentialing labor.

2.2 Criminal Integrity: Member warrants they have no pending criminal charges and no prior criminal convictions (excluding records officially erased under Connecticut Clean Slate laws). Non-disclosure of non-erased history is an automatic material breach.

2.3 Disqualifying Audit Findings: If an initial background audit reveals a disqualifying criminal history, entry into the fleet registry is denied. The $150 Sentry Fee is retained by the company to cover screening costs already incurred, and any pre-paid first month’s retainer fee will be fully refunded to the payment method on file within fourteen (14) business days.


III. FOUNDERS RATES & RETENTION

3.1 Pricing Tiers: Monthly Retainers are locked in for the initial Founders Circle cohort at: Registry Member Tier: $69.00/mo | Active Client Tier: $99.00/mo.

3.2 Continuous Standing: Founders Circle rate-locks remain valid only for continuous, uninterrupted active membership within either tier. Voluntary programmatic transitions between Registry Member and Active Client tiers are subject to operational pacing and must be pre-approved by the Navigator.


IV. AUTOMATIC RECURRING BILLING & DECLINED PAYMENT FEES

4.1 Pre-Authorized Monthly Billing: Member hereby authorizes The Catch LLC to automatically charge their credit card, debit card, or linked bank account on file for their recurring monthly retainer fee. This charge will execute automatically **each month on the calendar day corresponding to the Member’s initial enrollment date** (the “Monthly Billing Date”).

4.2 Declined Payments & Administrative Fees: It is the explicit responsibility of the Member to maintain valid, updated payment credentials in the member dashboard. If a recurring monthly charge is declined by the financial institution due to insufficient funds, expired cards, or account closure, a **$25.00 Administrative Recovery Fee** will be automatically assessed to the account to compensate for processing overhead.

4.3 Suspension of Service: Access to the fleet registry, active scouting labor, and any scheduled partner introductions will be immediately suspended if an account balance remains unpaid for more than **forty-eight (48) hours** past the Monthly Billing Date. In the event of an invalid or bad-faith chargeback dispute reversing legitimate operational fees, Member agrees to be held personally liable for all associated third-party collection agency fees and reasonable legal recovery costs.


V. THE VAULT & DISCRETIONARY REVEAL

5.1 Gated Privacy: Disclosure of any other member’s identity, professional standing, or private dossier data to third parties outside of the platform is strictly prohibited.

5.2 Curation Access: Member acknowledges and consents that while the Dossier is gated from general public view, The Catch may provide controlled, reciprocal access to Member’s visual parameters (curated photos and video introductions) to a potential partner once a formal match path has been established by the Navigator, verifying mutual chemistry interest before an official introduction.


VI. BREACH OF INTEGRITY

6.1 Material Breach: Discovery of non-disclosed background history, marital status fraud, or failure to disclose changes in legal status constitutes a material breach and will result in immediate termination from the service without a refund of the current cycle’s fees.


VII. OPERATIONAL AMENDMENTS

7.1 Right to Update: The Catch reserves the right to amend general operational protocols, features, and platform mechanics. Material structural modifications to this basic agreement will be formally transmitted to the member’s verified email address on file.


VIII. CANCELLATION PROTOCOLS & MANDATORY STATE RIGHTS

8.1 Authorized Methods of Cancellation: Standard service cancellations must be formally processed through trackable, written channels to maintain accurate corporate records. Verbal, text message, or social media cancel notifications are invalid. Members must cancel via: (a) the secure member dashboard at thecatchct.com, (b) email directed exclusively to registry@thecatchct.com, or (c) signed certified or registered mail delivered to the physical corporate headquarters listed below.

8.2 Processing Cycle Timeline: Standard monthly administrative processing requires a minimum of seven (7) business days. If a cancellation request is submitted fewer than seven business days prior to the member’s next scheduled Monthly Billing Date, that final automated cycle will process as scheduled, fees remain non-refundable, and service access will conclude at the end of that final period.

8.3 CT Relocation & Disability Protections: Pursuant to Connecticut state regulations governing consumer referral platforms, if a Member permanently relocates their primary residence more than twenty-five (25) miles outside of Fairfield County, or suffers a certified physical disability rendering them completely unable to utilize the platform for a period exceeding six (6) consecutive months, Member may request a pro-rated cancellation or suspension of their remaining billing term by providing verifiable documentation to the Navigator.


IX. LIMITATION OF LIABILITY & SCOPE OF RESPONSIBILITY

9.1 Definitions of Labor: Member explicitly agrees that fees are compensated strictly for structural background screening, manual vetting labor, database curation, platform security, and matching coordination by the Navigator. Romantic compatibility, personal attraction, relationship outcomes, or fixed introduction volumes are not guaranteed.

9.2 Assumption of Risk & Liability Cap: Member assumes all inherent social, physical, and emotional risks involved in meeting and communicating with individuals introduced through the platform. Under no circumstances shall The Catch LLC, its parent entities, or its Navigators be held liable for compensatory, incidental, or consequential damages stemming from personal interactions. In all instances, the maximum aggregate legal liability of the company to any individual shall be strictly capped at the total service fees paid by that specific individual over the immediate twelve (12) months preceding a formal claim.

THE CATCH LLC d/b/a THE CATCH, 3 ARMSTRONG RD. #1121, SHELTON, CT 06484, NOT LATER THAN MIDNIGHT OF THE THIRD BUSINESS DAY FOLLOWING EXECUTION.
